Terms of Service

1. Agreement to Terms

By accessing or using Taskly ("the App," "the Service"), operated by TaskMutual LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, whether as a task poster or service provider.

2. Description of Service

Taskly is a marketplace platform that connects individuals who need tasks completed ("Task Posters") with individuals who offer services ("Service Providers"). We provide the technology platform to facilitate these connections but are not a party to any agreements between users.

Important: TaskMutual LLC is not an employer of any Service Provider and does not provide any services directly. We are a technology platform only.

3. Eligibility

To use Taskly, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

4. User Accounts

Account Creation

You must create an account to use most features of Taskly. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any conduct we deem harmful to other users or the platform.

5. User Conduct

You agree NOT to:

• Violate any applicable laws or regulations
• Post false, misleading, or fraudulent content
• Harass, abuse, or harm other users
• Use the platform for illegal services or activities
• Circumvent or manipulate the payment system
• Create multiple accounts or impersonate others
• Scrape, collect, or harvest user data
• Interfere with the proper functioning of the Service
• Post spam or unauthorized commercial communications
• Attempt to gain unauthorized access to our systems

6. Tasks and Services

For Task Posters

• You are responsible for accurately describing tasks and requirements
• You agree to pay the agreed-upon amount for completed work
• You must not request illegal services or activities
• You are responsible for providing a safe work environment when applicable

For Service Providers

• You represent that you have the skills and qualifications to perform offered services
• You are responsible for obtaining any required licenses or permits
• You agree to perform services professionally and as described
• You are an independent contractor, not an employee of Taskly
• You are responsible for your own taxes, insurance, and business expenses

7. Prohibited Tasks and Services

To protect our users and comply with the requirements of our payment processor and applicable law, the following tasks and services are strictly prohibited on Taskly, whether offered, requested, or performed. This list is not exhaustive, and we may prohibit additional categories at our discretion.

Illegal Activity

• Any task that violates federal, state, or local law in the jurisdiction where it is performed
• Manufacture, sale, transport, or use of illegal drugs, controlled substances, or drug paraphernalia (including cannabis in states where it remains illegal)
• Production, sale, or distribution of counterfeit goods or items that infringe third-party intellectual property rights
• Fake identification documents, academic fraud (including ghost-writing graded assignments, taking tests for others), or falsification of records
• Trafficking in persons, smuggling, or any task that facilitates human exploitation

Adult and Sexual Services

• Escort services, sexual massages, prostitution, or any sexually oriented service
• Production or distribution of pornography or sexually explicit material
• Any task that sexualizes or endangers minors

Regulated Professional Services Without License

Many skilled trades and professional services require state or local licensure. Service Providers may not offer regulated services on Taskly unless they hold a valid, current license in the applicable jurisdiction and can produce proof of licensure upon request. Prohibited unless properly licensed:

• Electrical work beyond minor fixture replacement
• Plumbing work beyond minor clog clearing or fixture replacement
• HVAC installation, repair, or refrigerant handling
• General contracting, structural work, or home renovation above state-regulated dollar thresholds (e.g., California CSLB $500 threshold)
• Medical, dental, nursing, or other clinical services
• Prescription medication delivery or pharmaceutical services
• Legal advice or representation by non-attorneys
• Accounting or tax preparation services requiring CPA or EA licensure
• Financial, investment, or insurance advice requiring licensure
• Real estate brokerage, appraisal, or property management requiring licensure
• Childcare in jurisdictions requiring state certification (above applicable child-count thresholds)
• Commercial driving or for-hire passenger transport without appropriate license and insurance
• Pest control or pesticide application requiring certification
• Cosmetology, barbering, massage therapy, or tattooing requiring licensure

Service Providers are solely responsible for determining whether a task requires licensure and for maintaining that licensure. Task Posters should not request regulated services from unlicensed providers.

Weapons, Hazardous Materials, and Dangerous Goods

• Sale, transfer, modification, or assembly of firearms, ammunition, or regulated firearm accessories
• Sale or transfer of explosives, fireworks, or incendiary devices
• Transport, storage, or disposal of hazardous, toxic, radioactive, or biological materials
• Sale or distribution of research chemicals, synthetic drugs, or chemical precursors

Financial, Money, and Gambling Services

• Check cashing, money orders, money transmission, or currency exchange
• Debt collection, debt settlement, or credit repair services
• Peer-to-peer lending, cash advances, or payday-lending activity
• Gambling, sports betting, lotteries, raffles, sweepstakes with monetary prizes, or fantasy sports with cash prizes
• Cryptocurrency mining, initial coin offerings, or services facilitating the sale of crypto tokens or NFTs

Deceptive or Fraudulent Activity

• Pyramid schemes, multi-level marketing recruitment, or "get rich quick" offers
• Writing fake reviews or testimonials, or manipulating ratings on any platform
• High-pressure sales, door-to-door sales, or telemarketing tasks
• Any task intended to defraud another user or third party

Tobacco, Vaping, and Alcohol

• Sale, delivery, or purchase-on-behalf-of services for tobacco products, e-cigarettes, vaping products, or cigars
• Sale or delivery of alcohol without appropriate state licensure
• Any task involving the purchase of these products on behalf of minors

Other Prohibited Tasks

• Tasks involving animals that would violate animal welfare laws or require licensure the provider does not hold (e.g., veterinary services)
• Tasks that facilitate stalking, harassment, or surveillance of a non-consenting person
• Tasks requiring the impersonation of another person, a government employee, or a professional
• Political campaign work where applicable campaign finance law would be violated
• Any task the Service Provider knows or reasonably should know is intended for an unlawful purpose

Enforcement

We may, at our sole discretion and without advance notice: (a) remove any task listing or response that violates this section; (b) suspend or terminate the accounts of users who post, accept, or perform prohibited tasks; (c) withhold payment associated with prohibited tasks; and (d) report violations to applicable law enforcement or regulatory authorities. Users who suffer losses as a result of prohibited tasks have no recourse against TaskMutual LLC, as such tasks are outside the scope of the Service.

8. Payments and Fees

Payment Processing

All payments are processed through our secure third-party payment processor. By using our payment system, you agree to their terms of service.

Service Fees

Taskly charges service fees for facilitating transactions. Current fee structures are displayed in the app before you confirm any transaction. We reserve the right to change our fees with reasonable notice.

Refunds and Disputes

If a dispute arises between users, we encourage resolution through direct communication. Taskly may, at its discretion, mediate disputes but is not obligated to do so. Refund eligibility is determined on a case-by-case basis.

9. Ratings and Reviews

Users may leave ratings and reviews after completed tasks. You agree that:

• Reviews must be honest and based on actual experiences
• You will not offer incentives for positive reviews
• You will not post fake or misleading reviews
• Taskly may remove reviews that violate our policies

10. Intellectual Property

The Taskly name, logo, app design, and all content created by us are our intellectual property and protected by copyright and trademark laws. You may not use our branding without written permission.

You retain ownership of content you post but grant us a license to use, display, and distribute that content in connection with operating the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

• The quality, safety, or legality of services offered by users
• The accuracy of user profiles, ratings, or reviews
• That the Service will be uninterrupted or error-free
• That any specific results will be achieved through the Service

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKMUTUAL SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Actions or omissions of other users
• Personal injury or property damage resulting from services

Our total liability shall not exceed the fees you paid to TaskMutual LLC in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless TaskMutual LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Services you provide or receive through the platform

14. Dispute Resolution

Any disputes arising from these Terms or your use of Taskly shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in class action lawsuits.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes through the app or email. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and TaskMutual LLC.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent.
• Governing Law: These Terms are governed by the laws of the State of California.
